These Terms and Conditions (“Terms”, “Terms and Conditions”) establish the terms of your association with the SEO Metrics website and the SEO Metrics application (the “Service”) operated by SEO Metrics (“us”, “we”, or “our”).

Kindly read these Terms and Conditions attentively before utilizing our website and SEO Metrics application (the “Service”).

Your access to and use of the Service is contingent upon your acceptance of and adherence to these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms and accept all legal consequences. If you do not agree to these terms and conditions, in whole or in part, please refrain from using the Service.

1. Subscriptions

   • Certain features of SEO Metrics’ Service are available through subscription plans (“Subscriptions”). You will be invoiced in advance at regular intervals (“Billing Cycle”). Billing cycles can be monthly or annually, depending on the subscription plan you choose.
   • Your Subscription will automatically renew under the same conditions at the end of each Billing Cycle, unless you cancel it or SEO Metrics discontinues it. You can cancel the Subscription renewal via your online account management page or by reaching out to SEO Metrics customer support.
   • For processing Subscription payments, a valid payment method (Credit card, Google Pay or Apple Pay) is required. Provide accurate billing details, including full name, address, state, zip code, telephone number, and valid payment method information. By submitting payment details, you authorize SEO Metrics to charge Subscription fees to the provided payment instruments.
   • In case automatic billing fails, SEO Metrics will issue an electronic invoice. Manual payment must be made by a specified deadline, covering the billing period as indicated on the invoice.

2. Free Trial

   • SEO Metrics may offer a Subscription with a limited-time free trial (“Free Trial”) at its discretion.
   • Entering billing information may be required for Free Trial sign-up.
   • If billing information is provided, no charges occur until the Free Trial concludes. On the last day, unless cancelled, applicable Subscription fees are automatically charged.

3. Fee Changes

   • SEO Metrics reserves the right to modify Subscription fees at its discretion. Changes become effective at the end of the current Billing Cycle.
   • Prior notice will be provided for fee changes, allowing an opportunity to terminate your Subscription before the new fees take effect.

4. Refunds

   • Refund requests for Subscriptions are considered on a case-by-case basis at the discretion of SEO Metrics.

5. Content

   • Using SEO Metrics’ Service allows you to share information, text, graphics, videos, and other materials (“Content”). You are accountable for the legality, reliability, and appropriateness of the Content you post on the Service.
   • By posting Content, you grant SEO Metrics the right and license to use, modify, perform, display, reproduce, and distribute the Content through the Service. You retain all your rights to any Content you submit and are responsible for safeguarding those rights.
   • You affirm that: (i) the Content is yours or you have the right to use it and grant SEO Metrics the provided rights and license; and (ii) posting your Content on the Service doesn’t violate the rights of any person.
   • SEO Metrics reserves the right to block or remove communications or materials that we deem: (a) abusive, defamatory, or obscene; (b) fraudulent, deceptive, or misleading; (c) in violation of another’s intellectual property rights; or (d) offensive or otherwise unacceptable at our sole discretion.
   • By providing the ability to view and distribute user-generated content, SEO Metrics acts as a passive conduit, undertaking no obligation or liability related to the content or activities on the Service.

6. Accounts

   • Account creation requires accurate and current information. Failure to provide such constitutes a breach leading to account termination.
   • Users are responsible for password security and must promptly report any unauthorized account access.

7. Intellectual Property

   • The Service and its content are the intellectual property of SEO Metrics, protected by copyright and other intellectual property rights.

8. Links To Other Websites

   • SEO Metrics is not responsible for third-party website content, privacy policies, or practices linked from the Service.

9. Termination

   • SEO Metrics reserves the right to terminate access to the Service without notice for any reason. All Terms provisions survive termination.

10. Indemnification

    • Users agree to indemnify SEO Metrics from any claims, losses, or demands arising from Service use.

11. Limitation Of Liability

    • SEO Metrics is not liable for any direct or indirect damages resulting from Service use.

12. Disclaimer of Warranties and Limitation of Liability

    • SEO Metrics provides no guarantees, representations, or warranties regarding the website and associated technology. Any supposed applicable warranties, terms, and conditions are excluded to the maximum extent permitted by law. Your use of the Service is at your own risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance, except as mandated by the the Gulf Cooperation Council, where applicable. SEO Metrics, its subsidiaries, affiliates, and licensors do not warrant that a) the Service will function without interruption, securely, or be available at any specific time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.
    • In the event of your breach of any of these Terms and SEO Metrics chooses not to take immediate action or chooses not to act at all, SEO Metrics retains all rights and remedies for any subsequent occurrence or situation where you breach these Terms. SEO Metrics does not waive any of its rights. SEO Metrics is not responsible for any purported breach of these Terms caused by circumstances beyond its control. Individuals not party to these Terms have no rights of enforcement.You may not assign, sublicense, or otherwise transfer any of your rights under these Terms.

13. Exclusions

    • Some jurisdictions may not permit certain exclusions or limitations, and laws of Gulf Cooperation Council region may apply.

14. Governing Law

    • These Terms are subject to and will be interpreted and enforced in accordance with the laws of the UAE, applicable within the Gulf Cooperation Council region.Should a court of competent jurisdiction find any provision of these Terms to be invalid or unenforceable, the remaining provisions will remain in effect. These Terms represent the comprehensive agreement between us concerning our Service, supplanting and substituting any preceding agreements, whether oral or otherwise, related to the Service.

15. Changes

    • SEO Metrics retains the exclusive right, at our discretion, to amend or substitute these Terms at any time. In the event of a substantial revision, we will exert reasonable efforts to offer a minimum of 30 days’ notice before the new terms come into effect. The determination of what qualifies as a substantial change rests solely with us.By persisting in accessing or utilizing our Service subsequent to the implementation of these revisions, you are acknowledging your agreement to be bound by the updated terms. If you disagree with the new terms, either in full or in part, we kindly request that you discontinue using the website and the Service.
